1. About
SemiosBio Technologies, Inc. (referred to in this Policy by “Semios”, “we”, “us”, or “our”) is a company located at:

From time to time, Semios may provide Collaborators access to Brand Assets for a specified use case such as in research publications, white papers, conference presentations, press releases, or acknowledgements. These Brand Assets are valuable to Semios, and the use of these assets are governed by the terms of this Policy. We have established this Policy in order to protect, maintain, and control our Brand Assets, while giving Collaborators clarity on how and when they can use our Brand Assets. Unless otherwise indicated in a separate license agreement, a Collaborator must follow this Policy when using Brand Assets.
Should you wish to use a Brand Asset, you must comply with the terms set forth in this Policy that govern their use. While nothing obligates you to accept this Policy, nothing else gives you Semios’s consent to use its Brand Assets and therefore your failure to accept or to comply with its terms means that continued use of any Brand Asset is without Semios’s authorization or consent. Semios reserves all of its rights over the Brand Assets except as may be specified in this Policy, but which in every case requires compliance with this Policy. In addition, Semios reserves the right to specify different terms in a separate written agreement.
At any time, without prior notice, and at Semios’ sole discretion, Semios reserves all of its rights to withdraw its consent or permission over your use of any Brand Asset, including without limitation in the event that, Semios (in its sole discretion) believes your use negatively impacts its reputation or its goodwill in any Brand Asset; or your use of any Brand Asset in association with goods or services that are or may be provided by Semios or its Affiliates does not meet any requirements of this Policy.
Semios reserves the right to alter this Policy as it sees fit from time to time including to, for example, add additional authorized or unauthorized uses, update schedules, clarify rules, or make other changes that it considers necessary. Collaborators will be responsible for implementing these rules within a commercially reasonable timeframe, and are responsible for keeping up to date with changes to this Policy.
2. Authorized Uses
Collaborators may use the Brand Assets for any of the following purposes:
a. Compatibility or Integration Notices:
Collaborators may wish to utilize the Brand Assets within electronic means (web or mobile applications, websites, links) to reference partnership or integration status with Semios products and services, or more generally discuss or advertise the interoperability between Semios products and services and Collaborator products and services. Collaborators may do so provided that:
- The Collaborator operates the service that is being referenced alongside the Brand Assets.
- Statements or inferences made are factually correct.
- The use of the Brand Asset(s) does not create a sense of endorsement, sponsorship, or false association in respect of the Collaborator or its goods and/or services.
- The Collaborator does not, intentionally or otherwise, use a Brand Asset in association with the Collaborator’s goods and/or services in such a way so as to cause an impression that the Collaborator’s goods and/or services originate from Semios.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
- When used electronically, the Brand Asset contains a hyperlink to the Semios website (https://www.semios.com).
b. Verifying Data Source or Data Destination:
Collaborators may wish to utilize the Brand Assets within web or mobile applications to disclose that either the data being used as a part of the Collaborator products and services originated from Semios’ databases, or the products and services provided by the Collaborator are in whole or in part resulting from Semios’ Intellectual Property. The Collaborator may do so provided that:
- The Collaborator operates the service that is being referenced alongside the Brand Assets.
- Statements or inferences made are factually correct.
- The use of the Brand Asset(s) does not create a sense of endorsement, sponsorship, or false association in respect of the Collaborator or its goods and/or services.
- The Collaborator does not, intentionally or otherwise, use a Brand Asset in association with the Collaborator’s goods and/or services in such a way so as to cause an impression that the Collaborator’s goods and/or services originate from Semios.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
- If the products and services provided by the Collaborator are in whole or in part resulting from Semios’ Intellectual Property, the phrase “powered by Semios®” must be written in legible typeface near and in association with the displayed data.
c. Usage of Semios provided images or videos in public facing releases:
Collaborators may wish to use Semios provided images including product photos, figures, graphs, videos, images, or other Brand Assets in public facing releases such as press releases, publications, seminars, or conference materials. Collaborators may do so provided that:
- The Collaborator operates the service that is being referenced alongside the Brand Assets.
- Statements or inferences made are factually correct.
- The use of the Brand Asset(s) does not create a sense of endorsement, sponsorship, or false association in respect of the Collaborator or its goods and/or services.
- The Collaborator does not, intentionally or otherwise, use a Brand Asset in association with the Collaborator’s goods and/or services in such a way so as to cause an impression that the Collaborator’s goods and/or services originate from Semios.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
- It is used in a format and size which does not distort the original content, or uses the original content in a different context or otherwise changes or distorts the meaning of the original content.
- The following statement must be placed near and in association with any content owned or provided by Semios:
- “Used under license from SemiosBio Technologies, Inc. All rights reserved.
- Any existing watermark or other indication of the source of any Semios content may not be removed.
- Additional attribution or use requirements applicable to any content obtained from Semios under this Policy, including third party license rights or obligations, must also be observed.
d. Usage of Trademarks in public facing releases:
Collaborators may wish to use Trademarks in public facing releases such as press releases, publications, seminars, or conference materials. Collaborators may do so provided that:
- The Collaborator operates the service that is being referenced alongside the Brand Assets.
- Statements or inferences made are factually correct.
- The use of the Brand Asset(s) does not create a sense of endorsement, sponsorship, or false association in respect of the Collaborator or its goods and/or services.
- The Collaborator does not, intentionally or otherwise, use a Brand Asset in association with the Collaborator’s goods and/or services in such a way so as to cause an impression that the Collaborator’s goods and/or services originate from Semios.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
e. Distribution and resale of Semios products and services:
Collaborators may wish to use Brand Assets in the resale or distribution of Semios products and services. This may include things like distributing goods that contain Brand Assets, usage of marketing materials that contain Brand Assets, referring to Semios products and services on electronic or print media, or in general, reselling Semios goods and services. Collaborators may do so provided that:
- The Collaborator operates the service that is being referenced alongside the Brand Assets.
- Statements or inferences made are factually correct.
- The use of the Brand Asset(s) does not create a sense of endorsement, sponsorship, or false association in respect of the Collaborator or its goods and/or services.
- The Collaborator does not, intentionally or otherwise, use a Brand Asset in association with the Collaborator’s goods and/or services in such a way so as to cause an impression that the Collaborator’s goods and/or services originate from Semios.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
- Brand Assets are not used in combination or connection with Collaborator assets (eg. “SemiosSeller”, “Collaborator’s Variable Rate Mating Disruption”)
- The following must be associated with every use of any Brand Asset used in association with the distribution and resale of Semios’s goods and/or services:
- “Used under license from SemiosBio Technologies, Inc. All rights reserved.”
f. As an Affiliate of Semios:
An Affiliate of Semios may wish to use Brand Assets in order to provide goods and services on behalf of Semios, or in combination with Semios. Affiliates of Semios may do so provided that:
- Statements or inferences made are factually correct.
- Proper attribution (as described in Section 4) is given, and usage of Trade Dress and logos follow Schedule B.
3. Unauthorized Uses
Unless otherwise expressly authorized, Collaborators are responsible for ensuring that they do not use Brand Assets in the following ways:
a. Alterations to the Semios logo or images:
Collaborator should not remove, edit, change, distort, or alter any elements of logos or images provided by Semios. This includes (without limitation):
- Changes to the color of images or logos
- Changes to the aspect ratio of images or logos
- Reduction in the quality of images or logos so as to make them illegible, blurred or other visual imperfection.
b. Alterations of the Trademarks:
Collaborators should not edit, alter, combine, or misrepresent any elements of word marks provided by Semios. This includes (without limitation):
- Creating variations or abbreviations of Trademarks (eg. PAAS, SemiosLITE, Precision Ag As A Service).
- Using Trademarks as part of the Collaborator’s product names (eg. Collaborator Variable Rate Mating Disruption)
- Altering formatting or including symbols within Trademarks (eg. Precision-Agriculture-As-A-Service, ~Semios~, semios, Variable R@te)
- Misspelling Trademarks (eg. Semyohs, Vrrble Rate)
- Using Trademarks as verbs or nouns (eg. Semiosify, “We’re selling the new Semioses”)
c. Using Brand Assets in a negative way:
Collaborators should not use the Brand Assets, the Semios name, or refer to Semios in a manner that would shed negative light or put commercial business at risk. This includes (without limitation):
- Using the Brand Assets to create a false sense of endorsement, approval, or sponsorship.
- Disparaging Semios in use of the Brand Assets.
d. Using combined marks:
Collaborators should not combine their product names, business names, or other trademarks in combination with the Brand Assets. This includes:
- Registering or claiming trademark protection on combined marks (eg. Collaborator-Semios ™) or any trademark that is confusingly similar to any Trademark.
- Marketing any product or service in association with a trademark or trade dress that is confusingly similar to any Brand Asset.
4. Trademark Attribution Rules
Collaborators that use Trademarks (listed in Schedule A) must ensure the following:
- After the first distinct instance of a Trademark within text, the mark must be followed by a ® or a ™ as described in Schedule A. When referring to Semios as a business name, in title or in text, this type of symbol attribution is not required. For example:
- “Semios provides a Variable Rate Mating Disruption™ platform to ensure pheromone is used optimally.”
- Unless otherwise indicated (such as in a mobile application where attribution can take place on a separate page as described in the Authorized Uses section above), attribution must be given within the same document, page, or where the viewer would reasonably have access to the attribution. When providing attribution for a Semios word mark, it must be italicized. When referring to a logo or image mark, a written description is sufficient. For example:
- The Semios Logo is a trademark of SemiosBio Technologies, Inc.
- The Semios Icon is a trademark of SemiosBio Technologies, Inc.
- Precision Agriculture as a Service ™ , Know More, Worry Less ™ , and Semios ® are trademarks of SemiosBio Technologies, Inc.
- When referring to generic versions of products and services, use the associated generic use phrase found in Schedule A.
5. Definitions
- Affiliates: Any business entity that : (i) from time to time, directly or indirectly controls, is controlled by, or is under common control with a party, or that is a successory (including, without limitation, by change of name, dissolution, merger, consolidation, reorganization, sale, or other disposition) to any such business entity or its business and assets.
- Brand Assets: Elements such as colour scheme, font, registered and unregistered Trademarks, works, videos, images, copyrights, logos, and/or phrases that identify or relate to the Semios brand.
- Collaborators: Individuals, businesses, partners, media, integration partners, Affiliates, or other interested parties that access or use the Brand Assets.
- Intellectual Property: any invention, improvement, patent, patent application, copyright, copyright application, Trademark, Trademark application, trade secret, confidential information, technology, method, process, algorithm, license, know-how, ideas, research and development, software and software products, hardware and hardware components (including the structure, mode of operation, and/or functionality thereof), data (including compilations thereof), formulae, compositions, manufacturing and production processes and business and marketing plans and proposals, or any other intellectual or intangible property or other property or right, tangible or otherwise, whether or not written or otherwise fixed in any form or medium, regardless of the media on which contained, and whether or not patentable or copyrightable, as well as any rights, title, and interests, exclusive or otherwise, in and to any of the foregoing.
- Trade Dress: the commercial look and feel of the Semios products and services, including branding colours and design aspects.
- Trademark: anything used by Semios for the purpose of distinguishing Semios from others or so as to distinguish their goods or services from those of others.

7. Schedule B: Trade Dress and Logo Use
The primary Semios logo is the full colour version, featuring the blue & green logomark and grey wordmark. Reverse and one-colour versions are also available for use in different circumstances.
